These Terms of Service ("Terms") form a binding agreement between Vanday Labs LLC, a Texas limited liability company ("Vanday," "we," "us"), and you or the organization you represent ("you," "Customer"). By creating an account, accessing the Vanday digital asset management service at app.vanday.ai (the "Service"), or visiting vanday.ai (the "Site"), you agree to these Terms. If you don't agree, don't use the Service.
Vanday offers the Service on a subscription basis, starting with a 14-day free trial. We may add features, change features, change limits, or temporarily suspend availability for maintenance. The Service is provided AS IS to the extent permitted by law; specific service-level commitments, if any, are described in your plan or a separate agreement.
You must provide accurate registration information and keep it current. You're responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 to use the Service.
The Service is organized into Workspaces. The user who creates a Workspace is its initial admin. Admins can invite Members, assign roles, and remove Members. Admins are responsible for their Members' use of the Service and for ensuring use complies with these Terms.
Files, metadata, and other materials you upload, store, or process through the Service are "Customer Content." You retain all rights in Customer Content.
You grant Vanday a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and (where you direct it) share Customer Content solely to provide and improve the Service. The license ends when you delete the Customer Content or close your account, except that we may retain residual copies in routine backups until they expire on our standard cycle.
When you upload an asset, the Service may send a copy of the asset (and certain metadata) to a third-party AI provider (currently OpenAI) to generate tags, captions, and similar metadata. You represent that you have the rights necessary to do this.

The Service lets you connect third-party services (e.g., social platforms, design tools, cloud storage). When you connect one, your use of that service is governed by its own terms and privacy policy. We are not responsible for any third-party service, and we don't guarantee its continued availability or compatibility with the Service.
Our processing of personal data is described in the Privacy Policy, which is incorporated by reference.
Paid plans start after your 14-day free trial. Payment terms, pricing, and billing frequency are specified at sign-up, and we'll always show pricing before charging you. Fees are non-refundable except as required by law. We'll give you notice before any change to your plan's pricing.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if your use poses a security or legal risk, or if we cease to offer the Service. If we terminate without cause, we'll give you reasonable opportunity to export your Customer Content.
The Service is provided "AS IS" and "AS AVAILABLE." We make no warranties, express or implied, regarding the Service's reliability, accuracy, fitness for a particular purpose, or non-infringement. The Service may experience downtime, data loss, or errors. You're responsible for keeping your own copies of any Customer Content you can't afford to lose.

You'll defend, indemnify, and hold harmless Vanday and our affiliates from third-party claims arising out of your Customer Content, your use of the Service in breach of these Terms, or your violation of law.
We may update these Terms; we'll post the new version with an updated "Last updated" date. If a change is material, we'll provide additional notice (e.g., email or in-product). Your continued use after the change takes effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in Travis County, Texas, and each party submits to personal jurisdiction there.
These Terms are the entire agreement between you and Vanday about the Service and supersede any prior agreement. If any provision is held unenforceable, the remaining provisions remain in effect. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all assets; you may not assign without our prior written consent. Failure to enforce any provision is not a waiver. Notices to Vanday should go to the contact below; notices to you may be sent to the email associated with your account.
